Mr. Zhang has been a Director of China Carbon Graphite Group, Inc., since November 2009. He has over 13 years of 

experience in corporate finance, accounting, financial advisory and portfolio investment. He serves as the Chief Fin-ancial Officer in Beijing and Tokyo for Asia Media Co. Ltd. Mr. Zhang served as Chief Financial Officer of Universal 

Travel Group from August 17, 2009 to August 16, 2010 and served as its Principal Accounting Officer until August 16, 

2010. He served as the Chief Financial Officer of Energroup Holdings Corp., from September 18, 2008 to December 

23, 2008. He served as the Chief Financial Officer of Shengtai Pharmaceutical Inc., from May 2007 to May 2008 and 

also served as its Principal Accounting Officer until April 30, 2008. He served as the Chief Financial Officer of West 

Coast Car Company since May 2007. Mr. Zhang served as a Senior Manager of Chinawe.com Inc. Mr. Zhang held 

senior positions in Energoup Holdings Corporation. He had been with China Natural Resources Incorporation from 

March 2005 to May 2007 and served as its Deputy Chief Financial Officer from April 2006 to December 2006. He served 

as Vice President and Senior Manager of Chinawe Asset Management Corporation from April 2005 to April 2006. Mr. 

Zhang served as a Financial Consultant of Hendrickson Asset Management LLC from early 2004 to January 2005. He 

started his career as Foreign Exchange Trader, Institutional Equity Trader and Portfolio Manager of Guangdong South 

Financial Service Corporation in China from 1993 to 1999. He is a Professional Economist in China. He has been an 

Independent Director of China Education Alliance Inc. since June 2009. He has been an Independent Non-executive 

Director of Kaisa Group Holdings Co., Ltd. since November 2009. He has been an Independent Director of China Green 

Agriculture Inc., since March 27, 2008. He serves as a Director of Kaisa Holdings Group. Mr. Zhang served as an Inde-pendent Director of Universal Travel Group since June 24, 2008 until August 17, 2009. He is a Certified Public Accoun-tant, certified by the Delaware State Board of Accountancy. He serves as a Member of the American Institute of Certified 

Public Accountants. He holds a Bachelor's Degree in Economics from Fudan University, Shanghai in 1992 and an MBA 

in Financial Analysis and Accounting from the State University of New York, Buffalo in 2003. Mr. Zhang holds a Master of 

Science Program at Ecole des Hautes Etudes Commerciales (HEC), l'Universite de Montreal in Montreal, Canada.

 

John Chen, Independent Director, Chairman of the Compensation Committee 

Mr. Chen has been Director of Jinhao Motor Company since August 13, 2010; General Steel Holdings, Inc., since March 

7, 2005; and China Carbon Graphite Group, Inc., since November 2009. Mr. Chen has been Chief Financial Officer of ZST 

Digital Networks, Inc. since October 20, 2009 and serves as its Principal Accounting Officer. Mr. Chen served as Vice 

President of Investment Banking China Practice of Brean Murray, Carret & Co., from December 2007 to January 2009. 

From June 2007 to November 2007, he served as Senior Vice President of Investment Banking of Global Hunter Securities 

LLC. Mr. Chen served as an Associate Vice President of Business Development of Paramount BioCapital from March 2006 

to December 2006. He also served as a Biotechnology Associate Analyst at Friedman, Billings, Ramsey, Inc. from Septem-ber 2004 to August 2005. He served as Chief Financial Officer of General Steel Holdings, Inc. since May 2004 and also served 

as its Principal Accounting Officer and Secretary. He joined General Steel Holdings in May 2004. From August 1997 to July 

2003, he served as Senior Accountant at Moore Stephens, Wurth, Frazer and Torbet, LLP, Los Angeles, California, USA. He 

has been Director of SGOCO Group, Ltd.,n(also known as SGOCO Technology Ltd) since November 2010. He served as 

Director of Navstar Media Holdings, Inc. since January 11, 2007. Prior to that, he was a Clinical Research Fellow, on a one-year fellowship, at the National Cancer Institute from August 2005 to August 2006. He is a member of California State 

Certified Public Accountants, American Institute of Certified Public Accountants and California Society of Accountants in 2002. 

Mr. Chen graduated from Norman Bethune University of Medical Science, Changchun City, Jilin Province, China, in 1992. He 

obtained his Bachelor of Science, Business Administration in Accounting from California State Polytechnic University in 1997.

 

Hongbo Liu, Director 

Dr. Liu has been a director since November 2008. He is a professor at Hunan University in Hunan Province, where he has 

been the department chair of Non-Metallic Materials since 2000. Dr. Liu is considered one of China’s top scholars in carbon 

graphite studies. He has been granted a special annual allowance for outstanding scholars in China by the PRC Department 

of State since 1997. Dr. Liu holds a doctorate degree in engineering from Hunan University.
